Terms of Service — Fluxi

These Terms of Service (“Terms”) govern all design, development, and digital projects carried out by Fluxi (“the Developer”) for any client (“the Client”). By engaging Fluxi for any project or service, the Client acknowledges and agrees to these Terms.

Project Scope & Revisions

All work will be completed according to the agreed project proposal, quotation, or written scope of work. Any additional pages, features, revisions, or functionality requested beyond the agreed scope will be considered additional work and billed separately at Fluxi’s current hourly or per-feature rate.

Minor content or layout tweaks are included within reasonable limits. Major changes, redesigns, or new requirements may extend the project timeline and affect the total cost.

Timeline & Delays

Any project completion dates or timelines provided by Fluxi are good-faith estimates and not guarantees. Projects may take longer than originally intended due to revisions, content delays, client feedback, third-party issues, or technical challenges. Fluxi will communicate any significant timeline changes as they arise.

Payments & Fees

A non-refundable deposit of [insert %] is required before work begins. The remaining balance is due upon completion or as specified in the payment schedule. Late payments may result in delayed project delivery, suspension of services, or additional late fees.

All prices exclude taxes, hosting, domain registration, licensing fees, or any third-party costs unless specifically included in the written quote.

Intellectual Property & Ownership

Upon full payment, the Client gains ownership of the final deliverables such as approved designs, completed code, and content created specifically for the project. Fluxi retains rights to all pre-existing frameworks, code snippets, libraries, or design assets used to complete the project, as well as the right to showcase the work in its portfolio, case studies, or marketing materials.

Client Responsibilities

The Client agrees to provide all required materials, content, and approvals promptly. Delays in feedback or resource delivery may extend the overall project duration and could result in additional charges.

Testing & Acceptance

Fluxi will test all websites and applications on modern browsers and devices before delivery. The Client agrees to review and approve the final product within seven (7) days of delivery. Any changes or issues reported after that period may be treated as maintenance or new work.

Maintenance & Support

Ongoing updates, bug fixes, or technical support after project delivery are not included unless covered by a separate maintenance plan. Post-launch work will be billed at Fluxi’s standard hourly rate.

Third-Party Services

Fluxi may utilize third-party services, APIs, hosting platforms, plugins, or frameworks. The Client understands that Fluxi cannot be held responsible for the uptime, performance, or future changes made by those external providers.

Warranties & Limitations

All work is provided “as-is” without warranties of any kind. Fluxi does not guarantee specific performance results, search engine rankings, sales conversions, or uninterrupted service. The Client is responsible for proper backups, updates, and long-term management unless covered by a support agreement.

Limitation of Liability

In no event shall Fluxi’s total liability exceed the total amount paid by the Client for the project. Fluxi shall not be liable for any indirect, incidental, or consequential damages such as loss of data, revenue, or business opportunities resulting from the use or inability to use the project deliverables.

Termination

Either party may terminate the project with written notice. The Client will be responsible for payment for all completed work and approved milestones up to the termination date. Deposits are non-refundable once work has begun.

Confidentiality

Fluxi and the Client agree to keep all project details, credentials, and business information confidential unless otherwise agreed in writing.

Copyright & Portfolio Rights

Fluxi reserves the right to display completed work and client logos in its portfolio, social media, and promotional materials to showcase design and development capabilities. The Client retains ownership of their brand assets and any proprietary content supplied.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of United Kingdom . Any disputes shall be resolved in the courts located in United Kingdom.

Acceptance

By approving a proposal, submitting payment, or authorizing work to begin, the Client confirms that they have read, understood, and agreed to these Terms of Service provided by Fluxi.
